A Company Limited by Guarantee is a not for profit company and does not have a share capital, therefore not having shareholders. In place of shareholders a Company Limited by Guarantee will have Guarantors (or trustees) these people will have limited liability status but will guarantee to pay a pre agreed sum usually £1 on the winding up of such company.
The Memorandum & Articles of Association used for a company Limited by Guarantee are specifically for the purpose of a not for profit company, the objects of the company will need to be supplied to us as each company needs to be specific to its purpose of trading. The objects can be as broad or as limited as is required by you. We would advise that if you would be looking to apply for Charitable Status that the objects are not too vague as this may cause delays with the Charity Commission.
