When incorporating a Plc company it has different requirements to a Private Limited Company (Ltd) these are set out below.

 

• Minimum issued share capital of £50,000, of which 25% (£12,500) must be paid up in cash or assets before the company can trade, and the remainder to be paid up within 3 years.

• Minimum of two Directors

• The Company Secretary must have the necessary qualifications or experience required ie Solicitor or Accountant

 

Before trading can commence a form 117 must be completed and filed with the Registrar of Companies, this is an application by the Public company for certificate to commence business, this form also requires to be sworn by a solicitor.

 

A Plc company will also be required to file audited accounts annually irrespective of turnover unlike a Ltd which has an audit threshold of £5.6million.
